Terms of Service

Plain language summary: These terms explain what you can and can't do on ConvertPlus, what we promise to you, and what we expect from you. The full legal text follows. When in doubt, contact us — we'd rather clarify upfront than deal with a dispute later.

1. Acceptance of Terms

By registering for, accessing, or using the ConvertPlus platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are registering on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

ConvertPlus provides an API-based banner management platform that enables:

  • Publishers to serve targeted banner advertisements on their digital platforms using the ConvertPlus REST API and dashboard
  • Advertisers to create, manage, and run banner advertising campaigns across ConvertPlus's network of publisher platforms

The Service is operated by ConvertPlus, registered in Nepal.

3. Accounts

You must register for an account to use the Service. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in harmful behaviour on the platform.

4. Publisher Terms

4.1 API Integration

As a publisher, you are responsible for integrating the ConvertPlus REST API correctly and in accordance with the technical documentation provided. You must:

  • Use the API only for its intended purpose of serving banner advertisements
  • Not attempt to reverse-engineer, misuse, or manipulate the API
  • Maintain your integration and update it when required by ConvertPlus

4.2 Content standards

As a publisher, your platform must not display ConvertPlus-served banners in contexts that contain:

  • Illegal content under Nepali law
  • Content that promotes violence, hate, or discrimination
  • Sexually explicit or adult content (unless you have explicit written approval from ConvertPlus for age-verified platforms)
  • Content that infringes third-party intellectual property rights
  • Misleading or fraudulent content

4.3 Data responsibilities

Publishers are responsible for ensuring they have the legal right to share any targeting data passed to the ConvertPlus API. Publishers must disclose to their end users, in their own privacy policies, that banner ads may be served by a third-party API platform using broad demographic targeting parameters.

4.4 Publisher pricing and payment

For private subscription plans, the applicable monthly or yearly fee is agreed at the time of onboarding. Fees are billed in advance. Failure to pay within 14 days of the due date may result in suspension of API access.

For public placement revenue share arrangements, payment terms are agreed individually and set out in a separate agreement.

5. Advertiser Terms

5.1 Campaign standards

All advertiser campaigns and creatives submitted to ConvertPlus must comply with the following standards:

  • Campaigns must accurately represent the product or service being advertised
  • Creatives must not be misleading, false, or deceptive
  • Campaigns must not promote illegal products or services under Nepali law
  • Campaigns must not contain adult, violent, hateful, or discriminatory content
  • Landing pages linked from ads must be functional and match the ad's description
  • Advertisers are responsible for complying with all applicable laws relating to their advertising (consumer protection, industry-specific regulations, etc.)

ConvertPlus reserves the right to reject, pause, or remove any campaign or creative that does not meet these standards, at our sole discretion.

5.2 Payment and minimum spend

Advertiser payment terms, including applicable rates and minimum spend commitments, are agreed individually prior to campaign launch. All agreed fees are due as specified in your campaign agreement.

Disputed charges must be raised in writing within 14 days of the billing date. We will investigate and respond within 14 business days.

5.3 Targeting and data

Advertisers may use targeting features only for the purposes of showing relevant ads to appropriate audiences. Advertisers must not attempt to use targeting to discriminate against users unlawfully or to target vulnerable individuals in exploitative ways.

6. Intellectual Property

ConvertPlus retains all intellectual property rights in the platform, API, algorithm, and related technology. Your use of the Service does not grant you any ownership of or licence to our intellectual property beyond what is necessary to use the Service as intended.

Publishers and advertisers retain ownership of their own content (ad creatives, platform content). By submitting ad creatives to ConvertPlus, you grant us a licence to serve those creatives through the platform in accordance with your campaign settings.

7. Privacy and Data

Our collection and use of data is governed by our Privacy Policy, which forms part of these Terms. Both publishers and advertisers agree to comply with the data responsibilities set out in the Privacy Policy.

8. Prohibited Uses

You must not use the ConvertPlus platform to:

  • Engage in click fraud, impression fraud, or any form of artificial traffic generation
  • Attempt to gain unauthorised access to any part of the platform or other users' accounts
  • Interfere with or disrupt the platform's infrastructure
  • Scrape, copy, or replicate the platform's technology or data without written permission
  • Use the platform in any way that violates applicable Nepali law
  • Engage in any deceptive practice that harms publishers, advertisers, or end users

Violation of these prohibitions may result in immediate account termination and, where appropriate, legal action.

9. Disclaimers

The Service is provided "as is" and "as available". ConvertPlus makes no warranties, express or implied, regarding:

  • The uninterrupted or error-free operation of the platform
  • The results or revenue a publisher will achieve from using the platform
  • The results or conversions an advertiser will achieve from campaigns
  • The accuracy of third-party content (advertiser creatives, publisher content)

We will make reasonable efforts to maintain platform availability and performance, but do not guarantee specific uptime levels except where agreed separately in writing.

10. Limitation of Liability

To the fullest extent permitted by Nepali law, ConvertPlus shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of revenue, profits, or business opportunities
  • Data loss or system downtime
  • Actions or content of third parties (publishers or advertisers) on the platform

Our total liability to you for any claim arising from your use of the Service shall not exceed the total fees paid by you to ConvertPlus in the three months preceding the claim.

11. Termination

Either party may terminate the relationship by providing written notice. ConvertPlus may terminate or suspend your account immediately if you violate these Terms. Upon termination:

  • Your access to the platform will cease
  • Any outstanding fees owed by either party remain due and payable
  • Obligations that by their nature should survive termination (payment, confidentiality, data handling) will survive

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Nepal. Any dispute arising from these Terms or your use of the Service shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Nepal.

13. Changes to These Terms

We may update these Terms from time to time. We will notify active users of material changes by email at least 14 days before the changes take effect. Continued use of the platform after that date constitutes acceptance of the updated Terms.

These Terms of Service constitute the entire agreement between you and ConvertPlus regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions continue in full effect.
